Analysis Date: October 25, 2026  |  Data Source: SEC Filings (10-K) / Bloomberg  |  Analysis Period: FY2021–FY2025

Tripadvisor reported $163M of free cash flow for FY2025, a 14.4% yield on a $1.13B market capitalization. Two lines further down the cash flow statement, stock-based compensation took $108M of that, and about $53M was customer money building up in deferred merchant payables. What remains for owners is closer to $55M. The gap between the headline and that figure is the subject of this analysis.

The data covers FY2021 to FY2025 actuals from SEC XBRL and a Bloomberg export, with FY2026E and FY2027E treated as consensus projections. It also covers a business in transition: the legacy hotel search segment is shrinking about 20% a year, the Experiences segment (Viator) is meant to replace its profit, and a $680M sale of TheFork is about to change the balance sheet.

Market Cap: ~$1.13B (117.1M shares)  |  Enterprise Value: ~$0.93B pro forma for the TheFork sale, which has not closed  |  Price: $9.67 (October 22, 2026 close). The pro forma figure counts about $203M of net cash on management's excess-cash basis after $680M of sale proceeds; before the sale, enterprise value was about $1.57B.

Among the site's other travel and consumer-platform analyses, Tripadvisor's cash margin is the lowest. Booking Holdings (BKNG) converted 31.9% of trailing revenue to FCF and Expedia (EXPE) 20.9%, both on trailing twelve months to September 2025. Match Group (MTCH) produced a 29.4% margin at an 11.2% yield for FY2025. Tripadvisor's 8.6% margin comes with a higher yield than Match's, but the yield is carrying more adjustments. Those posts were priced on earlier dates, so the comparison is directional.

Cash Generation Quality

FY2025 FCF was 4.1 times GAAP net income of $40M and 98% of adjusted net income of $166M. The $126M gap between the two income measures is mostly stock-based compensation, and $92M of depreciation and amortization sits on top of that, so most of the bridge from earnings to cash is non-cash expense. The part that costs owners something is the stock compensation.

That cost is not small. SBC was $108M in FY2025, 66% of FCF, which leaves $55M after SBC and a yield of about 5% on that basis. Consensus has SBC falling to about $80M in FY2026E as forfeitures from the cost program and smaller grants take effect, but that is still 60% of the $132M consensus FCF line and 7.1% of the market capitalization. The share count rose 0.7% in the second quarter of 2026 with no buybacks. Charging only the cash needed to hold the share count flat, roughly $40M a year including tax withholding, takes the FY2026E yield from a headline 11.7% to 8.2%. Charging SBC in full takes it to 4.6%.

The second adjustment is customer float. Experiences collects payment up front and pays tour operators after the trip, so deferred merchant payables rise with bookings. That balance grew from $203M in FY2022 to $308M in FY2025, and the FY2025 build of $53M was about a third of FCF. Management leaves this cash out of its own measure of excess cash, and so does this analysis. FCF excluding the float build was $110M in FY2025. FCF before any working-capital change was $182M, the highest of the four years since 2022. FCF was 67% of operating cash flow, with capital spending at 4.3% of revenue.

  Open-market purchases (XBRL)$90M55%
Remainder, not itemized in available data$411M252%

Buybacks ran at three times FCF, so FCF did not pay for them. Excess cash on management's basis fell from $809M at the end of FY2024 to $411M at June 30, 2026 (including $52M now held in TheFork), and net debt on the same basis rose from $40M to $460M during FY2025. The open-market purchases were 6.1M shares at an average of $14.72, including $50M in the fourth quarter at $15.14. At $9.67 that $90M is worth about $59M. The remaining $411M is not itemized in the available data; the CFO referred to a transaction called L-TRIP, which may account for it, but its price was not verified. Net interest moved from $2M of income in FY2024 to about $32M of expense in FY2026E ($54M of interest expense against $22M of interest income).

Trend Narrative

FY2021 FCF of $54M was the first positive year after a $249M deficit in FY2020, as travel reopened. FY2022 looks like a breakout at $344M and a 23.1% margin, but $201M of it was a working-capital release. Before any working-capital change, FCF has run between $120M and $182M in every year since: $143M, $120M, $139M and $182M.

The next two years are the puzzle. Revenue grew from $1,492M in FY2022 to $1,835M in FY2024, up 23%, while FCF fell from $344M to $70M. FCF as a share of operating cash flow dropped from 86% to 49% as capex rose from $56M to $74M, and management attributed the FY2024 weakness to a non-recurring tax settlement. Bloomberg's adjusted tax line fell from $82M in FY2024 to $5M in FY2025, though cash taxes were not verified against the 10-K. SBC for FY2024 also differs by source: XBRL shows $120M and Bloomberg $198M, which puts FY2024 FCF after SBC at either -$50M or -$128M. Both are negative.

FY2025 recovered to $163M, up 133%, but the CFO described that rebound as driven mainly by working capital as the tax settlement dropped out of the comparison. The first quarter of FY2026 was explained the same way, as timing of receivables and vendor payments.

The first half of FY2026 shows the float at work. Reported FCF was $231M ($101M in Q1, $130M in Q2), 2.1 times first-half adjusted EBITDA of $109M. Deferred merchant payables rose $176M, from $308M to $484M. Without that, first-half FCF was $55M. Consensus for the full year is $132M, which implies roughly -$99M in the second half as the float unwinds. The first half reads as seasonal rather than as a step up in earning power.

Operating Cash Flow Context

Operating Cash Flow (OCF)$245M$144M$235M
GAAP Net Income$40M$5M$10M
Stock-Based Compensation (XBRL)$108M$120M$96M

Total depreciation and amortization is available only for FY2025 ($92M), so a CapEx/D&A series is omitted. GAAP net income in every year is a fraction of operating cash flow, and stock compensation is the largest single reason. For a fuller treatment of that divergence, see Free Cash Flow vs. Net Income.

Capital Expenditure Profile

YearCapExCapEx/Revenue
FY2021$54M6.0%
FY2022$56M3.8%
FY2023$63M3.5%
FY2024$74M4.0%
FY2025$82M4.3%

Capital intensity is moderate and had been creeping up, from 3.5% of revenue in FY2023 to 4.3% in FY2025. The first half of FY2026 ran at about $56M annualized, a one-third cut from FY2025, and much of the FY2026E recovery in FCF-to-OCF conversion depends on it holding. Management says it is not slowing investment in the marketplace and points to personnel and technology costs as where that spending now shows up. A one-third capex cut alongside that message is worth a question at each earnings call.

FCF Quality Score: 4/10 (Low Quality)

Derived score: a Neutral profile maps to 5 to 6, and FCF fell 80% from its FY2022 peak to FY2024 ($344M to $70M), which triggers a one-point volatility reduction, leaving 4. The score is deliberately not lower because the cash itself is real: Bloomberg's FCF line equals operating cash flow less capex in every year from FY2018 to FY2025, so there is no hidden definition at work. What holds it down is how much of the headline depends on items that do not repeat or do not belong to owners.

The strengths are structural. Capex is falling, FCF before working-capital change reached $182M in FY2025, and the TheFork proceeds would move the company from net debt on management's basis to roughly $203M of net cash, about 18% of the market capitalization.

The considerations sit in the composition. SBC is 66% of FY2025 FCF, a third of the year's FCF was float, and the profit base is changing shape. Hotels & Other supplied 69% of FY2025 segment EBITDA ($207M of $298M) while its revenue fell 21%, from $949M to $750M. Experiences, meant to take over, saw bookings growth slow from 18% in the fourth quarter of 2025 to 11% and then 5%, and Q3 revenue is guided at -2% to +1%. Consensus continuing-business EBITDA for FY2026E is $211M, 29% below FY2025 and about 31% below where February guidance implied (an analyst estimate of roughly $305M).

The risks are about search traffic, capital allocation and execution. Management put the search-engine headwind at about five points of segment growth, mostly on the Tripadvisor point of sale. Repurchases in FY2025 were made at $14.72 to $15.14 against a current price of $9.67. The TheFork sale needs French labor consultation and regulatory approval before it closes, and an activist investor said in February that it intended to nominate directors. Four directors have joined since, and a new chair was named. Whoever decides how the proceeds are used is a different board from the one that approved the earlier purchases.

Forward Outlook: Key Scenarios

Two variables set the path: how quickly Experiences re-accelerates, and how fast Hotels & Other loses profit, with the TheFork proceeds as a third lever on per-share outcomes.

ScenarioProbabilityKey AssumptionsImplied Steady-State FCF
Potential Upside 25% Experiences returns to mid-teens growth with margins toward the high teens. Hotels & Other declines slow. Continuing EBITDA recovers to about $300M. About $200M reported; about $160M after a $40M dilution cost
Base Case 45% Consensus holds. Continuing EBITDA stays near $210M as Experiences grows at high single digits while Hotels & Other keeps shrinking. About $130M reported; about $90M after dilution cost
Downside 30% Hotels & Other keeps falling about 20% a year with costs lagging. Experiences stays at low single-digit growth with margins near 10% and take-rate pressure from incentives. Continuing EBITDA drifts toward $150M. About $75M reported; about $35M after dilution cost

Scenario probabilities are illustrative judgement weights and do not constitute forecasts or price targets. FCF levels are assumptions anchored to consensus for the base case only.

The market-implied view is the useful reference. On the pro forma enterprise value, consensus FY2026E FCF of $132M implies about -2.8% annual growth at an 11% required return. After the $40M dilution cost, owner FCF of $92M implies about +1.0%. In other words, the price assumes owner cash flow stays roughly flat. At an 11% owner yield, supporting today's market capitalization takes steady-state reported FCF of about $142M, 9% above the base case. Treatment of SBC matters as much as any operating assumption: charging it in full instead of the dilution-neutral cost would reduce the base-case equity value by about 35%.

Catalysts to Monitor

Third-quarter results are due November 5. Guidance points to Experiences revenue of -2% to +1%, bookings growth of 5% to 7% and a margin of 14% to 17%, with Hotels & Other revenue down 20% to 23% at a 22% to 25% margin. Experiences bookings growth has roughly halved twice in three quarters. Management attributes it to conflict-related disruption, weather, cancellations and a shift toward lower-priced tours, and calls those factors transitory. An analyst on the second-quarter call noted a competitor growing North American bookings faster, and management replied that Viator is holding share. Share is the number to track.

The use of the TheFork proceeds is the largest decision before year-end. The $680M is 60% of the market capitalization. Management has said the proceeds give flexibility for debt reduction and/or share repurchases, and has also kept organic and inorganic investment in Experiences open. No shares were repurchased in 2026 because of the portfolio review, which leaves $110M of authorization unused, and that constraint should lift once the sale closes. Debt repayment, buybacks and acquisitions have very different implications for per-share cash flow, and buybacks only add value if the shares trade below intrinsic value.

Year-end deferred merchant payables are the float check. Consensus has $294M, down from $308M at the end of FY2025 and $484M at June. A balance holding near $300M or more would suggest bookings are intact; a sharper drop would turn a source of cash into a use.

Overall Assessment: TRIP FCF Quality Score 4/10

Tripadvisor's cash generation is genuine but thin once the adjustments are made. FY2025 FCF of $163M becomes $110M without the float build and $55M after stock compensation, and a 14.4% headline yield becomes about 5% on owner economics. The pro forma balance sheet, with about $203M of net cash after the TheFork sale, is the one feature that does not depend on those adjustments.

The multi-year pattern shows why the score is low. FCF fell 80% between FY2022 and FY2024 while revenue grew 23%, the FY2025 rebound was mostly working capital, and consensus FCF for FY2026E and FY2027E ($132M to $167M and $129M to $146M, depending on the source) shows no growth. The profit base is also moving from a shrinking segment to a slowing one. The score reflects real cash, a weak conversion into owner earnings, and an unresolved handoff between businesses.
